1. Agreement to These Terms

These Terms of Service (the "Terms") are an agreement between you and Prosperity Tax Adv LLC, doing business as Prosperity Tax Advisors ("Prosperity Tax Advisors," "we," "us," or "our"). They govern your use of prosperityta.com (the "Site"), the consultation booking tools on the Site, our text message program, and any services we provide to you.

By using the Site, booking a consultation, or opting in to text messages, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site or our services.

2. Who We Are

Prosperity Tax Advisors is a tax advisory firm based in Tampa, Florida. We help business owners, investors, and high-income professionals design and carry out proactive tax strategies. Our founders bring more than 20 years of tax and advisory experience to that work.

Prosperity Tax Advisors is not a law firm and does not provide legal services or legal advice. Legal matters are coordinated with your own licensed attorney.

3. How Our Services Are Provided

Our services typically begin with a free strategy call booked through the Site. During that call we learn about your situation and decide together whether we are a fit. Paid services, such as tax strategy design, tax planning, entity structuring guidance, cost segregation coordination, and ongoing advisory, are provided only under a separate written engagement agreement that sets out the scope, fees, and responsibilities of each party.

Nothing on the Site, and nothing said during a strategy call, is tax, legal, accounting, or financial advice for your specific situation until you have signed an engagement agreement with us. Information on the Site is general in nature and is provided for educational purposes only.

Every tax outcome depends on your own facts, on the accuracy and completeness of the information you provide, and on current law. We do not guarantee any particular result, savings amount, refund, or outcome with any tax authority.

4. Booking a Consultation

When you book a consultation on the Site, you agree to give us accurate contact information and to answer our qualifying questions honestly. No payment is taken on the Site, and booking a call does not obligate you to purchase anything.

We may decline, reschedule, or cancel a consultation at our discretion, including when we determine that our services are not a fit for your situation.

5. SMS / Text Message Program Terms

5.1 Program Description

Prosperity Tax Advisors offers a text message program for people who book a consultation with us and choose to opt in. When you opt in, you agree to receive recurring automated text messages from Prosperity Tax Advisors at the phone number you provided. The types of messages you may receive include:

• Appointment confirmations, reminders, and rescheduling notices for your consultation
• Tax strategy updates and follow-up information related to your consultation
• Account and filing notifications for clients under an engagement agreement
• Promotional offers and general service information

5.2 How to Opt In

You opt in by checking the SMS consent box on the consultation booking form on prosperityta.com. The box is unchecked by default. You must affirmatively check it to receive text messages.

Consent to receive text messages is not a condition of purchase, of booking a consultation, or of receiving any of our services. If you provide your phone number but do not check the SMS consent box, we will not send you text messages.

5.3 Message Frequency and Cost

Message frequency may vary. Message and data rates may apply. Check with your mobile carrier for details about your plan.

5.4 How to Opt Out

You can cancel the SMS service at any time. Reply STOP to any text message you receive from us. After you send STOP, we will send you one confirmation message, and you will receive no further text messages from us. To rejoin, opt in again using the method described above.

5.5 Help and Support

5.6 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

5.7 Your Phone Number and Opt-In Data

By opting in, you confirm that you are the owner or authorized user of the phone number you provided, and you agree to tell us promptly if that number changes. Text messaging originator opt-in data and consent will not be shared with any third parties, excluding aggregators and providers of the text message services. See Section 4 of our Privacy Policy for how we handle your mobile information.

6. Your Responsibilities

When you use the Site or our services, you agree that you will:

• Provide information that is true, accurate, and complete, and keep it up to date
• Use the Site only for lawful purposes and only for yourself or a business you are authorized to represent
• Not attempt to interfere with, damage, or gain unauthorized access to the Site or its systems
• Not copy, scrape, or republish Site content without our written permission

7. Intellectual Property

The Site and everything on it, including text, graphics, logos, guides, videos, and software, belong to Prosperity Tax Advisors or our licensors and are protected by copyright, trademark, and other laws. You may view and print Site content for your own personal, non-commercial use. Any other use requires our prior written consent.

8. Disclaimers

The Site and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that the content is complete or current.

Testimonials and case studies on the Site reflect the experience of specific clients with specific facts. Results are not typical and are not a guarantee or projection of future results. Your outcomes will vary, sometimes materially.

9. Limitation of Liability

To the fullest extent permitted by law, Prosperity Tax Advisors and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site, the text message program, or any information on the Site. Liability for paid services is governed by your engagement agreement.

10. Third-Party Links and Services

The Site uses third-party tools, including scheduling, customer relationship management, analytics, and text messaging providers, and may link to third-party websites. We are not responsible for the content, practices, or availability of any third-party site or service. Your use of those services is subject to their own terms.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. Any dispute arising from these Terms or your use of the Site will be brought in the state or federal courts located in Hillsborough County, Florida, and you consent to the jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Last Updated" date at the top of this page and, where appropriate, notify you directly. Your continued use of the Site or our services after changes take effect means you accept the updated Terms.
